End User License Agreement (EULA) of FNet Co., Ltd.
Before installing any FNet software product, please carefully read the terms and conditions of this license agreement. The FNet End User License Agreement (EULA) is a legal contract between you (whether an individual or an entity) and FNet, covering FNet software products, which may include related components, media, printed materials, and online or electronic documentation ("Software Product").
By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. This agreement constitutes the entire agreement between you and FNet regarding the software and supersedes any prior proposals, representations, or understandings. If you do not agree to the terms of this EULA, do not install or use any FNet software product.
All FNet software products are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and agreements. The Software Product is licensed for use, not sold.

1. License: Software Product Usage Rights
(a) Installation & Use
FNet grants you the right to install and use the Software Product on a valid, licensed copy of an operating system for which it is designed (e.g., Windows 10, Windows 11).
(b) Backup Copy
You may also create a copy of the Software Product to prevent accidental deletion or loss, ensuring it meets backup and archival needs.
2. Additional Rights and Restrictions
(a) Copyright Notices
You may not remove or modify any copyright notices on copies of the Software Product.
(b) Distribution
You may not distribute registered versions of the Software Product to third parties. Evaluation versions provided on the FNet website are freely distributable.
(c) No Reverse Engineering, Decompiling, or Source Code Derivation
Unless expressly permitted by applicable law, you may not reverse engineer, decompile, or attempt to derive the Software Product's source code.
(d) Leasing
You may not lease or lend FNet Software Products to third parties.
(e) Support Services
FNet may provide support services related to the Software Product. Any additional software code provided as part of these services will be considered part of the Software Product and will be subject to this EULA's terms and conditions.
(f) Compliance with Applicable Laws
You must comply with all applicable laws, regulations, statutes, and court orders regarding the use of the Software Product.
3. Termination
(a) Termination Rights
Without prejudice to any other rights, FNet may terminate this EULA if you fail to comply with the terms and conditions of this EULA. Additionally, FNet reserves the right to terminate this EULA at any time, for any reason or no reason, with thirty (30) days' prior written notice.
(b) Termination Notice Procedure
FNet will send termination notices via email or in-software notification to your registered email address. The termination notice will include the effective date of termination and the reason for termination (if applicable).
(c) Post-Termination Obligations
Upon termination of this EULA, you must:
(i) Immediately cease using all FNet software products;
(ii) Destroy all copies of FNet software products and all component parts in your possession;
(iii) Uninstall the software products from all devices;
(iv) Delete all related backup copies.
(d) Post-Termination Data Processing
After termination, FNet will process your personal data in accordance with applicable laws and our privacy policy. You have the right to request deletion of your personal data, but certain data may need to be retained due to legal obligations.
(e) Post-Termination Rights
Termination of this EULA does not affect rights and obligations that arose before termination. Provisions of this EULA that expressly survive termination (including but not limited to copyright, disclaimers, liability limitations, etc.) will continue to be effective.
4. Copyright
All rights, including but not limited to copyrights of the Software Product and its copies, belong to FNet or its suppliers.
All titles, content, and intellectual property provided within the Software Product remain the property of their respective owners and may be protected under applicable copyright and intellectual property laws and treaties.
This EULA does not grant you any rights to use such content. FNet reserves all rights not expressly granted herein.
5. Disclaimer
FNet explicitly disclaims any warranties regarding the Software Product. The Software Product is provided "as is", without any express or implied warranties, including but not limited to merchantability, non-infringement, or fitness for a particular purpose.
FNet makes no guarantees about the accuracy or completeness of any information, text, graphics, links, or other elements within the Software Product.
FNet does not warrant or assume responsibility for any damage caused by computer viruses, worms, time bombs, logic bombs, or other programs that may be transmitted through the Software Product.
Additionally, FNet explicitly disclaims any warranties or representations to licensed users or any third parties.
6. Limitation of Liability
Under no circumstances shall FNet be liable for any damages resulting from the use or inability to use the Software Product, including but not limited to loss of profits, business interruptions, or data loss, even if FNet has been advised of the possibility of such damages.
FNet shall not be held responsible for data loss or any indirect, special, incidental, or consequential damages (including loss of profits) arising from contract, tort, or other legal causes.
Furthermore, FNet assumes no liability for the content of the Software Product or any part of it, including but not limited to errors or omissions, defamation, infringement of publicity rights, privacy rights, trademark rights, business disruptions, personal injury, privacy loss, moral rights violations, or disclosure of confidential information.
7. Network Connection & Third-Party Services
You acknowledge and agree that accessing certain FNet software features may require a network connection, which you are responsible for obtaining.
Additionally, you are responsible for any third-party costs associated with obtaining network access, including but not limited to internet service provider fees or data charges.
The operation of this software may be limited or affected by factors such as network performance, bandwidth, firewalls, or technical restrictions. The availability, quality, and security of the network connection are solely the responsibility of the third-party service provider.
8. Export & Other Regulations
You agree to comply with all applicable export and re-export restrictions and regulations in your residence or country. You must not transfer or permit the transfer of FNet software to prohibited countries, nor violate any related restrictions or regulations in any way.
9. Consent to Use Non-Personal Information, Location Data & Data Security
You acknowledge and agree that FNet may read, collect, transmit, process, and store certain information gathered by this software, including but not limited to:
(1) Relevant Information, such as software applications, content, and peripheral devices interacting with your device and this software. This includes but is not limited to:
(a) Unique identifiers related to your device and its components.
(b) Performance of your device, this software, and its components.
(c) Configuration and content of your device, this software, and related applications, as well as interactions with peripheral devices.
(d) Features used and usage frequency of this software and associated applications and peripherals.
(2) Location Data, as described below.
FNet may use and disclose relevant information in accordance with applicable laws to enhance its products and services or provide services to you. These uses include, but are not limited to:
(a) Managing software functionality.
(b) Improving, repairing, updating, or upgrading the software.
(c) Developing and enhancing current and future products and services for FNet and others.
(d) Providing information related to FNet's products and services to you and other users.
(e) Complying with applicable laws and regulations, as outlined below.
Additionally, FNet reserves the right to use relevant information to protect itself and third parties from illegal, criminal, or harmful activities.
Certain services provided through FNet software may rely on location data, including but not limited to the geographic location of your device. You acknowledge that FNet may collect, process, store, and create a database of such location data to provide these services. Such services are governed by FNet's privacy policy or those of relevant third parties. By using any such services, you confirm that you have reviewed the applicable privacy policies and consent to these activities.
FNet will not knowingly use relevant information to personally identify software owners or users without their awareness or consent. Any use of such information will comply with FNet's privacy policy or relevant third-party privacy policies.
Relevant information may be processed, stored, or transferred by FNet. Some countries may have less stringent data protection and privacy laws than your country of residence, and your legal rights regarding such data may be more limited. FNet will make reasonable efforts to implement appropriate technical and organizational measures to prevent unauthorized access or disclosure of relevant information but cannot guarantee complete protection against potential misuse.
10. Automatic Updates
FNet may automatically update or modify the software when you interact with FNet servers or third-party servers , or at other times, including but not limited to security enhancements, bug fixes, and feature improvements .
You acknowledge and agree that FNet may perform these updates at its discretion , and you may be required to install or accept such updates to continue using the software.
For the purposes of this license agreement , any updates or modifications shall be considered part of the software . By accepting this agreement, you also agree to these updates and modifications .
11. System Requirements & Technical Support
(a) System Requirements
Use of this Software Product requires meeting minimum system requirements, including but not limited to: operating system version, hardware specifications, memory requirements, storage space, etc. Specific requirements are detailed in the Software Product documentation or official website. FNet does not guarantee that the Software Product will function properly under all system configurations.
(b) Compatibility Statement
FNet strives to ensure compatibility of the Software Product with mainstream operating systems and hardware, but does not guarantee compatibility with all third-party software, hardware, or services. Compatibility issues may arise due to system updates, third-party software changes, or other factors.
(c) Technical Support Scope
FNet's technical support services include: software installation assistance, basic operation guidance, and common issue resolution. Technical support does not include: system optimization, hardware troubleshooting, third-party software issues, or problems beyond the normal use scope of the Software Product.
(d) Support Service Terms
The provision time, methods, and scope of technical support services are determined by FNet at its discretion. FNet reserves the right to modify or terminate technical support services at any time and assumes no responsibility for any consequences arising from service interruptions.
12. Terms Modification & Notices
(a) Terms Modification Rights
FNet reserves the right to modify the terms of this EULA at any time. Modified terms will be published on FNet's official website and take effect immediately upon publication. Your continued use of the Software Product constitutes acceptance of the modified terms.
(b) Major Modification Notice
For major term modifications (including but not limited to substantive changes affecting your rights and obligations), FNet will notify you thirty (30) days in advance via email or in-software notification. If you disagree with the modified terms, you have the right to terminate use of the Software Product during the notice period.
(c) Notice Procedure
All notices shall be sent in writing to your registered email address. Notices are deemed delivered twenty-four (24) hours after sending. You are responsible for ensuring the validity of your email address and timely receipt of notices.
(d) Non-Transferable Terms
The rights and obligations under this EULA are non-transferable. Without FNet's prior written consent, you may not transfer this EULA or the right to use the Software Product to any third party.
13. Entire Agreement, Waiver & Severability
This license agreement and FNet's privacy policy (both of which may be supplemented and revised from time to time) together constitute the entire agreement between you and FNet regarding the Software Product. FNet's failure to exercise or enforce any right or provision of this license agreement does not constitute a waiver of such right or provision. If any provision of this EULA is deemed invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
14. Governing Law & Jurisdiction
(a) Applicable Law
This EULA is governed by the laws of Taiwan (Republic of China), without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this license agreement. This choice of law applies to all users regardless of their residence or the location where the software is used.
(b) Jurisdiction
Any disputes, controversies, or claims arising from or related to this EULA or the use of the Software Product shall be submitted to the Taiwan Taipei District Court as the court of first instance. Both parties agree to accept the exclusive jurisdiction of such courts.
(c) Force Majeure
Neither party shall be liable for any delay or failure to perform obligations due to force majeure events, including but not limited to natural disasters, war, terrorism, government actions, cyber attacks, power outages, or other events beyond the reasonable control of both parties.
(d) Severability
If any provision of this EULA is deemed invalid, illegal, or unenforceable, such provision shall be modified to the maximum extent permitted by law to make it valid, and the remaining provisions shall remain in full force and effect.
